ChickAdvisor.biz Terms of Service

1.0 ACKNOWLEDGMENT AND ACCEPTANCE OF SERVICE AGREEMENT

1.1  The ChickAdvisor.biz (&quote;Chick.biz&quote; or the &quote;Service&quote;), owned and operated by ChickAdvisor Inc. (&quote;Chick&quote;)  is provided to (&quote;You&quote; or &quote;Applicant&quote;) under the terms and conditions of this ChickAdvisor Service Agreement (the &quote;Agreement&quote;)

1.2 BY COMPLETING THE SERVICE REGISTRATION FORM AND CLICKING THE &quote;I ACCEPT&quote; BUTTON, YOU REPRESENT AND WARRANT THAT YOU ARE 18 YEARS OF AGE OR OLDER, THAT YOU AGREE TO PROVIDE TRUE AND ACCURATE INFORMATION AS PROMPTED BY THE REGISTRATION FORM, AND THAT YOU AGREE TO BE BOUND BY THIS AGREEMENT.

1.3 Chick reserves the right, in its sole discretion, to change, modify, add or remove all or part of the Agreement at any time with or without notice. Please refer back to this Agreement often.

2.0 DESCRIPTION OF Chick.biz

2.1 Chick.biz is a web based service that allows for the possibility for your website, product, or service to be included the Chick’s online directory. Inclusion into ChickAdvisor is not guaranteed.  It is subject to the terms of this agreement.  ChickAdvisor.biz currently offers, but is not limited to, two types of services: Unpaid and Paid.

2.1.1 Unpaid Listing: An unpaid listing will allow the Applicant to submit their business for consideration into Chick.biz.  If approved, the Applicants’ business  will be listed on ChickAdvisor.com.  In consideration for the Service being delivered by Chick.biz the Applicant will be required to deliver certain services to maintain the Unpaid Listing. Unpaid listings required to submit 4 deals per year to the Directory.  As an example, for illustrative purposes only, this may come in the form of discounts, coupons, or other incentives for the products or services offered by the Applicant.  All Deals submitted are subject to approval by Chick.  Due to the unpredictable nature of requests ChickAdvisor will do it’s best to process these listing as quickly as we can but there is no guarantee when an unpaid listing will be approved and published live to ChickAdvisor.

2.1.2. Paid Listings: A paid listing in Chick affords You the ability to create an online presence within ChickAdvisor.com.   This type of service will allow you to create an online listing with access to certain premium features that are fully described on http://www.ChickAdvisor.biz.

Inconsideration of your payment and participation in ChickAdvisor.biz in accordance with this Agreement, Chick agrees to review your site for possible inclusion in the ChickAdvisor.com website, and respond to you within fourteen (14) business days from the date that you submit your site for consideration (excluding holiday periods and any delays due to problems processing your request). Response times are measured on Chick’s mail servers.
In order for Chick to accept your Paid Listing you must submit a valid credit card number as part of the registration process. The Credit Card process will be handled by a 3rd party.  ChickAdvisor will not retain any financial information and subsequently not assume any liability regarding your choice of online payment methods.  You agree that your credit card will be charged the then-current, applicable NON-REFUNDABLE fee for review and response. Chick reserves the right to remove your site from the Directory for any reason, in our sole discretion.

2.4 The current annual fee for a Paid Listing NON-REFUNDABLE fee of CDN$300.00. Promotions and discounts may be applied during the course of the year which may affect the price.  You acknowledge that the payment of this fee is for consideration of your site AND DOES NOT IN ANY WAY GUARANTEE THAT YOURSITE WILL BE INCLUDED IN Chick.biz or ChickAdvisor.com. Your payment only guarantees that Chick will consider and respond to your request within fourteen business days, by either accepting or not accepting your site. You expressly agree to pay to Chick such fee whether or not your site is accepted or denied inclusion in ChickAdvisor. Your web site's continued inclusion in ChickAdvisor will be subject to an additional annual review for compliance with the minimum site criteria and you agree that your credit card will be charged the then-current Recurring Annual Fee.  The current Recurring Annual Fee is CDN $300 for a Paid Listing. If Chick is unable to successfully charge your card or if the charge is refused, your site will be removed.

IT IS THEAPPLICANT'S RESPONSBILITY TO KEEP CREDIT CARD INFORMATION CURRENT.

2.5 NOTHING IN THIS AGREEMENT OBLIGATES CHICK TO LIST, LINK TO, ACCEPT OR OTHERWISE HOST YOUR SITE ANYWHERE ON CHICKADVISOR.COM OR IN CHICKADVISOR.BIZ. IN ADDITION, IF YOU ARE ACCEPTED, NOTHING IN THIS AGREEMENT OBLIGATES Chick TO PLACE YOUR SITE WITHIN A SPECIFIC CATEGORY OR SUB CATEGORY OF THE DIRECTORY, OR TO PROVIDE ANY COMMENTS OR ANNOTATIONS WITH THE LISTING OF YOUR SITE.

2.6 Your listing (Paid or Unpaid) created on ChickAdvisor.biz (http://www.chickadvisor.biz) will appear in ChickAdvisor.com (http://www.chickadvisor.com ).  You should, in entering this agreement knowingly due so having  taken time to familiarize yourself with both websites and acknowledge the following; Chick offer a variety of services on the internet. ChickAdvisor.com is a social network working website which allows it’s members to express their INDIVIDUAL OPINIONS on, but limited to, products and services.  By entering into this agreement you acknowledge that you do so fully informed having taken the time to visit the sites mentioned above.

2.7 YOUR REPRESENTATIONS REGARDING YOUR SITE

You represent and warrant that the site you are submitting for consideration does not and will not infringe the rights of any third party, including without limitation any Intellectual Property Rights, rights of publicity, rights of personality, rights of privacy, rights to payment of royalties, or any other rights of third parties not specifically identified in this Section. Further, you warrant and represent that all aspects of the site submitted for consideration comply with all applicable laws and regulations.

3.0 MINIMUM SITECRITERIA

3.1 All websites submitted to ChickAdvisor must at a minimum meet the following minimum criteria:

-It must be available to the general public and easily viewed using all Major web browsers, including Internet Explorer, Firefox, and Safari.
-The website must be managed directly by the owner and not part of a network of websites used for Search Engine Optimization, harvesting email addresses, or fraud.
	-The website must support English.
	-No parts of the website may be under construction.

4.0 LISTING AND APPROVAL OF SITES

4.1 Chick reserves the right not to include any specific keywords, comments, pictures, or annotations with the listing of a site in the Service or ChickAdvisor.com.

4.2 Chick reserves the right, in its sole discretion, to remove your site from the Chick, move the listing to a different category or subcategory, and change or remove any keywords, comments, or annotations at any time, for any reason, including but not limited to, a change in the nature, business, goods, or services or content available on the site.

4.3 Chick does not accept listings for the following types of products of services;
-online gambling sites and 
-prescription drugs websites and
-pornography

ChickAdvisor reserves the right to update this list at any given time.

4.3 Chick reserves the right to approve any Public Announcement; it’s timing, and channel of communication.  No such public announcement can be made without prior approval.  Chick will provide, from time to time, pre-approved tools to promote our business from within the Service.

5.0 Rejection of an Applicant

5.1 Chick will contact Applicant by email describing whether the site has been accepted or rejected. Should an Applicant be rejected, Applicant will be notified by email.  The Application will have 30 days from the email Send date to notify Chick it’s desire for reconsideration.   If Chick receives an email requesting reconsideration, Chick will do so within another 30 days. If the Applicant is rejected for a second time the decision will be final.

6.0 TERMINATION

6.1 If you wish to terminate participation with the Service, you must send a notice to Chick as set forth in Section 11, &quote;Notices,&quote; below. Please state that you wish disable your Account. Disabling an account means removing your login and any details, including any items that You have contributed including, pictures, text, deals will be removed from the Service.

6.2 Paid listings are subject to a Recurring Annual Fee.   Requests for termination must be received by Chick at least ten (10) business days before the end of the year that you intend to be your last year of participation. The &quote;end of the year &quote;is defined as 365 days from the date that your web site was approved by Chick and the date stamp included in confirmation emailed to you at that time. Once Chick has received and acknowledged such notice the account in question will be disabled. If you request that your listing be removed before the end of a year for which you have pre-paid the Recurring Annual Fee, you agree that Chick will not be required to refund any portion of such fee.

7.0 APPLICANT PRIVACY

7.1  Chick maintains information about the Applicant on it’s servers including but not limited to registration information. Applicant agrees that Chick may disclose personal information in aggregate to our agents, suppliers and service providers as part of making available our website and related products and services. All such persons and entities are provided only with the information needed to perform their specific function and may not use such information for other purposes. They are also bound by contract to maintain the confidentiality and security of personal information and are restricted from using such information in any way not expressly authorized by Chick.
Exceptions
We reserve the right to use and disclose personal information to comply with applicable laws and regulations and local, provincial and national governmental requests, to operate our websites properly, or to protect the rights and property of Chick and its users, sponsors, providers, or licensors.
7.2 Chick may contact Applicant regarding the Service using the Applicant's email address provided during the registration process (or as updated by Applicant).

8.0 INDEMNITY

You agree to defend, indemnify and hold Chick, its affiliates, suppliers, licensors, co-branders, information providers, service providers, partners, directors, officers, employees, agents, representatives, and their respective successors and assigns, harmless from and against any and all liabilities, claims, costs and expenses, including without limitation reasonable attorneys' fees and expenses, in connection with any claim or demand arising from, related to, or in connection with, your: (a) violation of this Agreement, (b) use of, or inability to use, the Website or any of the Services, or (c) use of, reliance on, placement, posting or transmission of, any Services available on or through the Website. Further, you will assist and cooperate as fully as reasonably required by Chick in the defence of any such claim or demand.

9.0 DISCLAIMER OF WARRANTIES ANDLIABILITIES

9.1 YOUR USE OF THE WEBSITE AND THE SERVICES IS AT YOUR OWN RISK.
THE WEBSITE AND THE SERVICES ARE PROVIDED ON AN &quote;AS IS&quote; AND &quote;AS AVAILABLE&quote; BASIS, AND WITHOUT ANY REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY REPRESENTATION, WARRANTY OR CONDITION REGARDING THE QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF ANY OF THE SERVICES OR THE WEBSITE, INCLUDING WITHOUT LIMITATION ANY RELATED CONTENT, PRODUCT OR SERVICES. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, CHICK MAKES NO CONDITION, REPRESENTATION OR WARRANTY THAT: THE WEBSITE WILL BE COMPATIBLE WITH YOUR COMPUTER AND SOFTWARE; THE WEBSITE WILL BE AVAILABLE OR WILL FUNCTION WITHOUT INTERRUPTION OR ERROR; DEFECTS OR ERRORS IN THE WEBSITE WILL BE CORRECTED; THE INFORMATION AVAILABLE ON OR THROUGH THE WEBSITE WILL BE ACCURATE, COMPLETE, RELIABLE, SUITABLE OR TIMELY; THE USE OF THE WEBSITE, INCLUDING THE BROWSING AND DOWNLOADING OF ANY INFORMATION, WILL BE FREE OF ANY VIRUSES, TROJAN HORSES, WORMS OR OTHER DESTRUCTIVE OR DISRUPTIVE COMPONENTS; THE TRANSMISSION OF INFORMATION TO AND FROM THE WEBSITE WILL BE SECURE; OR THE USE OF THE WEBSITE WILL NOT INFRINGE THE RIGHTS (INCLUDING INTELLECTUAL PROPERTY RIGHTS) OF ANY PERSON.

9.2 YOU HEREBY RELEASE CHICK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS, FROM ANY LOSS OR DAMAGES THAT YOU INCUR, AND AGREE NOT TO ASSERT ANY CLAIMS AGAINST THEM, ARISING FROM YOUR PURCHASE OR USE OF ANY PRODUCTS OR SERVICES MADE AVAILABLE THROUGH THE WEBSITE OR BY THIRD PARTIES THROUGH THE WEBSITE.

9.3 CHICK’S LIABILITY TO APPLICANT SHALL NOT, FOR ANY REASON, EXCEED THEAMOUNT ACTUALLY PAID BY APPLICANT TO CHICKADVISOR UNDER THIS AGREEMENT.

10.0 FORCE MAJEURE

10.1 CHICKADVISOR is not liable for any delay or failure in performance under the Agreement resulting directly or indirectly from acts of God, terrorism, or other causes beyond its reasonable control.

11.0 NOTICES

11.1 Any notices or communications under the Agreement shall be by electronic mail or in writing and shall be deemed delivered upon receipt to the party to whom such communication is directed, at the addresses specified below. If to CHICK such notices shall be addressed to notice@chickadvisor.biz or to CHICKADIVSOR.biz at 2910-208 Queens Quay West, Toronto, Ontario, M5J 2Y5, Canada. If to Applicant, such notices shall be addressed to the electronic or mailing address specified in Applicant's Service registration form, or such other address as either party may give the other by notice as provided in this Section. It is the Applicant's responsibility to provide an accurate address and to ensure that ChickAdvisor is notified of any changes to Applicant's address as specified in this Section.

12.0 ENTIRE AGREEMENT

12.1 This Agreement constitutes the entire agreement between Chick and you pertaining to your use of the Website and the Services and supersedes any prior agreements between you and Chick excluding the Chick’s Terms of Service and the Chick’s Privacy Policy. Chick's failure to insist upon or enforce strict performance of any right or provision of the Agreement shall not constitute, or be construed as, a waiver of any right or provision. If any provision of this Agreement becomes or is declared by a court of competent jurisdiction to be illegal, unenforceable or void, portions of such provision, or such provision in its entirety, to the extent necessary, shall be severed from this Agreement, and such court will replace the original provision with a valid and enforceable provision that will achieve, to the extent possible, the same purposes of the original provision. The balance of this Agreement shall be enforceable in accordance with its terms. You and Chick are independent contractors and no agency, partnership, joint venture, employment or franchise relationship is intended or created by this Agreement or your use of the Website. The provisions of this Agreement shall enure to the benefit of, and be binding upon, Chick and its respective successors and assigns and related persons and you and your heirs, executors, administrators, successors, permitted assigns, and personal representatives. You may not assign this Agreement or your rights and obligations under this Agreement without the express prior written consent of Chick, which may be withheld in Chick's sole discretion. Chick may assign this Agreement and its rights and obligations under this agreement without your consent. Any rights not expressly granted by this Agreement are reserved to Chick. The parties have expressly requested and required that this Agreement and all other related documents be drawn up in the English language. Les parties conviennent et exigent expressement que ce Contrat et tous les documents qui s'y rapportent soient redigés en anglais.

13.0 GENERAL

13.1 Governing Law
Chick controls and operates the Website from its offices in Toronto, Canada and makes no representation that the materials are appropriate or will be available for use in other locations. Unless otherwise explicitly stated, all Content, Services and other materials found on this Website are solely directed to individuals located in Canada. If you use this Website from outside Canada, you are entirely responsible for compliance with applicable local laws. This Agreement, your use of the Website, and all related matters shall be governed solely by the laws of the Province of Ontario, Canada and the applicable federal laws of Canada, without regard to the conflicts of law provisions of any jurisdiction. You hereby irrevocably submit to the exclusive jurisdiction of the provincial and federal courts of the Province of Ontario located in the City of Toronto in relation to all disputes arising from or related to this Agreement, your use of the Website and any related matters.

13.2 The section titles in the Agreement are for convenience only and have no legal or contractual effect.
